These Affiliate Program Terms & Conditions (“Terms”) govern participation in the affiliate program (the “Program”) operated by Small AI Japan, Inc. (“Company”) for the promotion of its application software.
Article 1 (Nature of the Program)
The Program is a performance-based affiliate advertising program.
Affiliates act solely as independent referral partners and are not sales agents, distributors, or representatives of the Company.
No authority is granted to bind the Company contractually.
Article 2 (Eligibility & Registration)
Participation in the Program is free of charge.
Affiliates are not required to purchase any product or service to join or remain in the Program.
Participation may be restricted or unavailable in certain jurisdictions in accordance with applicable laws and regulations.
Article 3 (Commission Structure)
- Direct Referral Commission (Tier 1)
Affiliates may earn a commission of approximately 30% of the actual sale price (excluding taxes and fees) for purchases made through their unique referral link. - Indirect Referral Commission (Tier 2 – Limited)
Affiliates may additionally earn a limited override commission equal to 10% of sales generated by direct referrals’ affiliate links. - No Further Tiers
No commissions are paid beyond Tier 2 under this international version of the Program.
No compensation is provided for recruitment itself.
All commissions are paid solely based on completed and valid product sales.
Article 4 (Jurisdiction-Based Variations)
Commission structures, tier limits, and eligibility may vary depending on the affiliate’s country of residence.
The applicable commission structure is determined solely by the affiliate’s registered country and applicable local laws.
The Company reserves the right to modify or restrict Program participation in specific jurisdictions to ensure legal compliance.
Article 5 (Payment Terms)
Commissions are calculated on a monthly basis.
Payments are processed by the 20th day of the following month.
Minimum payout threshold: USD 100.
Unpaid balances below the threshold roll over to subsequent months.
Payments are made via PayPal (international).
Any transaction or service fees are the affiliate’s responsibility.
Article 6 (Forfeiture of Unpaid Commissions)
If an affiliate does not generate additional commission for 12 consecutive months, and the balance remains below the minimum payout threshold, the unpaid balance may be forfeited.
This also applies if the affiliate fails to provide valid or accurate payment information.
Article 7 (Prohibited Conduct)
Affiliates must not:
Make false, misleading, or exaggerated claims regarding the Company or its products
Use income claims such as “guaranteed income,” “passive income,” or “get rich quick”
Charge others any fee to join the Program
Misrepresent the Program as an investment opportunity
Run paid advertisements using the Company’s trademarks or product names without prior written approval
Article 8 (Earnings Disclaimer)
The Program does not guarantee any level of income.
Affiliate earnings depend on individual effort, market conditions, and actual product sales.
Most affiliates earn modest amounts or no commissions at all.
Past performance does not guarantee future results.
Article 9 (Restricted Jurisdictions)
Participation in the Program is not available to residents of the People’s Republic of China.
The Company may implement technical, contractual, or payment-based measures to enforce this restriction.
Article 10 (Termination)
The Company reserves the right to suspend or terminate an affiliate’s participation and withhold unpaid commissions in cases of fraud, abuse, or material violation of these Terms.
Article 11 (Limitation of Liability)
The Company is not responsible for any claims, losses, or disputes arising from an affiliate’s promotional activities or representations.
Article 12 (Governing Law)
These Terms shall be governed by and construed in accordance with the laws of Japan, unless otherwise required by mandatory local law.
